1. ACCEPTANCE OF TERMS
Welcome to SportsID, Inc., a Delaware corporation ("SportsID," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website (www.sportsid.io), mobile applications, application programming interfaces (APIs), artificial intelligence and machine learning services, and all related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and our Artificial Intelligence Use Policy, all incorporated herein by reference.

2. DESCRIPTION OF SERVICE
SportsID provides comprehensive sports technology solutions, including but not limited to:
- Sports analytics and performance tracking powered by artificial intelligence
- Digital identity verification and credential management for athletes and sports organizations
- Data management, visualization, and predictive analytics tools
- API services for sports-related applications and third-party integrations
- Machine learning-based recommendation systems and personalization features
- Educational content, resources, and automated coaching tools
- Computer vision and video analysis services
- Biometric data processing and athlete wellness monitoring
- Tournament, team, camp, and coaching management platforms (TournamentID, TeamID, TrainerID, CampID, CoachID)
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1 Age Requirements
You must be at least 13 years old to use our Service. If you are between 13-17 years old, you may only use the Service with verifiable parental or guardian consent and supervision. For certain features involving biometric data or AI-powered assessments, additional age restrictions may apply.
3.2 Account Creation
- You may be required to create an account to access certain features
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your account credentials
- You may not create multiple accounts, use automated account creation tools, or share your account with others
- You may not use AI-generated identities or false credentials
- We reserve the right to suspend or terminate accounts that violate these Terms
- We may use automated fraud detection systems to verify account authenticity
3.3 Verification
We may require identity verification before providing certain services, including but not limited to government-issued identification, sports organization credentials, biometric verification, or video authentication. We may use AI-powered identity verification tools to confirm your identity.
3.4 Organizational Accounts
Sports organizations, teams, and coaches may create organizational accounts subject to additional verification requirements and separate service agreements.
4. ACCEPTABLE USE POLICY
You agree NOT to use the Service to:
4.1 Prohibited Activities
- Violate any applicable laws, regulations, or third-party rights
- Impersonate any person or entity or misrepresent your affiliation
- Transmit spam, viruses, malware, adversarial inputs, or other harmful code
- Attempt to gain unauthorized access to our systems, user accounts, or AI models
- Interfere with or disrupt the Service, servers, or machine learning operations
- Use automated scripts, bots, scrapers, or data mining tools without written permission
- Engage in harassment, bullying, discrimination, or threatening behavior
- Manipulate or attempt to reverse-engineer our AI models or algorithms
- Submit inputs designed to corrupt, bias, or extract information from our AI systems
- Use the Service to train competing AI models or services
- Circumvent content filters, age verification, or access controls
4.2 Content Restrictions
- Upload false, misleading, defamatory, or AI-generated deepfake content
- Share copyrighted material without proper authorization
- Post content that is obscene, pornographic, hateful, or inappropriate
- Distribute personal information or biometric data of others without consent
- Submit data designed to poison or manipulate machine learning models
- Upload content that misrepresents athletic performance or credentials
4.3 AI and Data Usage Restrictions
- You may not extract, scrape, or harvest data from the Service for AI training purposes
- You may not use the Service to develop competing products or services
- You may not attempt to determine the underlying algorithms, training data, or model architecture of our AI systems
- You may not use automated means to generate synthetic training data from our Service
5. USER CONTENT
5.1 Content Ownership
You retain ownership of content you submit, post, or upload to the Service ("User Content"), subject to the rights granted to us in these Terms.
5.2 License Grant
By submitting User Content, you grant SportsID a worldwide, royalty-free, non-exclusive, sublicensable, transferable license to use, reproduce, modify, distribute, display, perform, and create derivative works from your User Content in connection with:
- Providing and improving the Service
- Training and improving our AI and machine learning models
- Generating analytics, insights, and aggregated data products
- Marketing and promotional purposes
5.3 AI Training and Processing
You acknowledge and agree that:
- Your User Content may be used to train, test, and improve our AI models
- We may create anonymized, aggregated, or synthetic datasets derived from User Content
- AI-generated insights and outputs based on your data may be shared with other users in aggregated form
- You will not be individually identified in AI training datasets or outputs
5.4 Content Responsibility
- You are solely responsible for your User Content
- You represent that you have all necessary rights, consents, and licenses to grant the above license
- We reserve the right to use automated content moderation and AI filtering to remove User Content that violates these Terms
- We do not endorse or guarantee the accuracy of User Content
- We are not responsible for AI-generated content or recommendations based on User Content
5.5 Biometric and Performance Data
If you upload biometric data, athletic performance data, or health information:
- You represent that you have obtained all necessary consents and comply with applicable health data laws
- You acknowledge such data will be processed by AI systems
- You grant us the right to use such data for improving athletic performance models
- You understand that AI-generated health or performance recommendations are not medical advice
6. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING
6.1 AI-Powered Features
Our Service utilizes artificial intelligence and machine learning technologies, including but not limited to:
- Predictive analytics and performance forecasting
- Automated talent identification and scouting
- Computer vision for video analysis and motion tracking
- Natural language processing for content analysis
- Recommendation engines for personalized experiences
- Anomaly detection and fraud prevention
- Automated decision-making for various Service features
6.2 Transparency and Explainability
Where AI systems make decisions that significantly affect your access to or use of the Service:
- We will provide notice that automated decision-making is being used
- You may request human review of certain automated decisions
- We will provide reasonably available information about the factors influencing AI decisions
- Such explanations are provided on a best-efforts basis and may be limited by proprietary considerations
6.3 AI Output Accuracy
You acknowledge that:
- AI-generated outputs, predictions, and recommendations are probabilistic and may contain errors
- SportsID does not guarantee the accuracy, completeness, or reliability of AI outputs
- AI recommendations regarding athletic performance, recruiting, or health should not be the sole basis for important decisions
- You should exercise independent judgment and seek professional advice where appropriate
6.4 Training Data and Model Updates
- Our AI models are continuously trained and updated using aggregated user data
- Model updates may change the nature or quality of AI outputs
- We reserve the right to modify, discontinue, or replace AI features at any time
- Historical AI outputs may not reflect current model capabilities or accuracy
6.5 Bias and Fairness
We strive to develop AI systems that are fair, unbiased, and non-discriminatory. However:
- AI systems may reflect biases present in training data or sports industry practices
- We cannot guarantee that AI systems will be free from all bias or produce equitable outcomes across all demographic groups
- You may report suspected AI bias or discrimination to legal@sportsid.io
- We will investigate and address credible bias concerns in accordance with our AI Ethics Policy
6.6 Third-Party AI Services
We may integrate third-party AI services (including but not limited to OpenAI, Google Cloud AI, AWS AI, Azure AI) into our platform. Your use of such services is subject to the third-party provider's terms and conditions.
6.7 Intellectual Property in AI Outputs
- AI-generated outputs provided to you through the Service are licensed, not sold
- We retain all intellectual property rights in our AI models, algorithms, and training methodologies
- You may use AI outputs for lawful purposes consistent with these Terms
- You may not use AI outputs to develop competing AI models or services
7. INTELLECTUAL PROPERTY RIGHTS
7.1 SportsID Property
The Service and its content, features, functionality, AI models, algorithms, software, and all underlying technology are owned by SportsID and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Trademarks
"SportsID," "CampID," "TournamentID," "TeamID," "CoachID" and related logos are trademarks of SportsID, Inc. You may not use our trademarks without our prior written consent.
7.3 Third-Party Content
We may include third-party content or links to third-party websites. We do not endorse or take responsibility for such content.
7.4 AI-Generated Content Rights
Content generated by our AI systems based on your inputs is subject to shared rights:
- You have a limited license to use such content for your personal or business purposes
- We retain rights to use patterns, insights, and methodologies reflected in such content
- Neither party may claim exclusive ownership of generic AI outputs
7.5 Open Source and Third-Party AI Components
Our Service may incorporate open source software and third-party AI models subject to their respective licenses. We will comply with all applicable open source license obligations.
8. PRIVACY AND DATA PROTECTION
8.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.2 Data Security
We implement industry-standard security measures including encryption, access controls, and secure AI model hosting to protect your information. However, we cannot guarantee absolute security.
8.3 Data Analytics and AI Training
We may collect and analyze usage data to:
- Improve our Service and AI models
- Provide analytics and insights to sports organizations
- Create anonymized aggregate datasets
- Develop new AI features and capabilities
All such use is in accordance with our Privacy Policy and applicable data protection laws.
8.4 Cross-Border Data Transfers
Your data may be processed in the United States or other jurisdictions where we or our service providers operate. By using the Service, you consent to such transfers.
8.5 Data Retention
We retain personal data and AI training data in accordance with our data retention policy, legal obligations, and legitimate business needs. You may request data deletion as described in our Privacy Policy, subject to legal retention requirements.
8.6 Children's Privacy
We comply with COPPA and similar laws protecting children's privacy. For users under 13, we obtain verifiable parental consent and limit data collection. We do not knowingly use children's data for AI training without parental consent.
8.7 Biometric Data
If we collect biometric data (facial recognition, motion capture, etc.):
- We will obtain explicit consent as required by applicable law
- Such data will be securely stored and processed only for specified purposes
- You have rights to access, correct, and delete biometric data as provided by law
- We comply with Illinois BIPA, Texas CUBI, and similar biometric privacy laws
9. PAYMENT TERMS
9.1 Fees
Certain features require payment of fees. All fees are stated in U.S. dollars and are non-refundable unless otherwise specified or required by law.
9.2 Payment Processing
Payments are processed by third-party providers (Stripe, PayPal, etc.). You agree to their terms and conditions.
9.3 Subscription Services
- Subscription fees are billed in advance on a recurring basis
- You may cancel subscriptions as described in your account settings
- Cancellation takes effect at the end of the current billing period
- We will provide 30 days notice of material pricing changes
- Continued use after price changes constitutes acceptance
9.4 Enterprise and Custom Licensing
Enterprise customers may enter into separate agreements with custom pricing, service levels, and AI model customization options.
9.5 Taxes
You are responsible for all applicable taxes, duties, and governmental charges. Fees are stated exclusive of such charges unless otherwise noted.
10. TERMINATION
10.1 Termination by You
You may terminate your account at any time by following the instructions in your account settings or by contacting support@sportsid.io.
10.2 Termination by SportsID
We may suspend or terminate your access to the Service immediately and without prior notice:
- For violation of these Terms
- For suspected fraudulent, abusive, or illegal activity
- For attempts to manipulate or compromise our AI systems
- For extended periods of inactivity (180 days or more)
- For failure to pay applicable fees
- At our sole discretion if we determine your use poses security or legal risks
- Upon automated fraud detection or AI-based risk assessment
10.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your User Content within 90 days (except where retention is required by law)
- Outstanding payment obligations survive termination
- Data used in AI training may be retained in anonymized form
- Provisions of these Terms that by their nature should survive will remain in effect
10.4 Data Export
Prior to termination, you may export your User Content using our data export tools. After termination, we are not obligated to maintain or provide access to your data.
11. DISCLAIMERS
11.1 Service Availability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE ACCESS. AI FEATURES MAY EXPERIENCE DOWNTIME, DEGRADED PERFORMANCE, OR TEMPORARY UNAVAILABILITY.
11.2 Performance Data and AI Outputs
SPORTS PERFORMANCE DATA AND AI-GENERATED PREDICTIONS, RECOMMENDATIONS, AND ANALYTICS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. WE DO NOT GUARANTEE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE.
11.3 No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF AI OUTPUTS, PREDICTIONS, OR RECOMMENDATIONS
- ABSENCE OF ERRORS, BUGS, OR AI MODEL DEFECTS
- SECURITY OF DATA TRANSMISSION OR STORAGE
- COMPATIBILITY WITH YOUR DEVICES OR SYSTEMS
11.4 Medical and Health Disclaimers
AI-GENERATED HEALTH, WELLNESS, OR PERFORMANCE RECOMMENDATIONS ARE NOT MEDICAL ADVICE AND SHOULD NOT REPLACE CONSULTATION WITH QUALIFIED HEALTHCARE PROFESSIONALS.
11.5 Athletic and Career Decisions
AI-GENERATED RECRUITING PREDICTIONS, TALENT ASSESSMENTS, OR CAREER RECOMMENDATIONS SHOULD NOT BE THE SOLE BASIS FOR IMPORTANT ATHLETIC OR CAREER DECISIONS.
11.6 No Guarantee of Outcomes
WE DO NOT GUARANTEE THAT USE OF OUR AI TOOLS WILL IMPROVE ATHLETIC PERFORMANCE, LEAD TO RECRUITING SUCCESS, OR PRODUCE ANY PARTICULAR OUTCOME.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Exclusion of Damages
IN NO EVENT SHALL SPORTSID, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES RESULTING FROM AI ERRORS, INACCURACIES, OR SYSTEM FAILURES
- HARM RESULTING FROM RELIANCE ON AI RECOMMENDATIONS OR PREDICTIONS
- DAMAGES FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS
- LOSS OF ATHLETIC OPPORTUNITIES OR CAREER ADVANCEMENT
12.2 Maximum Liability
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT PAID BY YOU TO SPORTSID IN THE 12 MONTHS PRECEDING THE CLAIM, OR
- ONE HUNDRED DOLLARS ($100)
12.3 Time Limitation
ANY CLAIMS MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES OR BE FOREVER BARRED.
12.4 Basis of the Bargain
YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS IN THESE TERMS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SPORTSID.
12.5 Applicable Law
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless SportsID, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and AI technology partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your User Content or data you submit
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
- Your violation of applicable laws or regulations
- Any harm caused by your reliance on AI outputs or recommendations
- Any claims that your User Content or data caused our AI systems to generate infringing, unlawful, or harmful outputs
- Misuse of AI features or attempts to manipulate AI systems
14. DISPUTE RESOLUTION
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
14.2 Mandatory Arbitration
EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES.
The arbitration shall be conducted in Atlanta, Georgia, or remotely via videoconference. The arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court having jurisdiction.
14.3 Arbitration Procedures
- The arbitration shall be conducted by a single arbitrator with experience in technology and AI disputes
- Each party shall bear its own costs and attorneys' fees unless the arbitrator awards such costs
- Discovery shall be limited as determined by the arbitrator
- The arbitrator may award any relief available in court
14.4 CLASS ACTION AND JURY WAIVER
YOU AND SPORTSID AGREE THAT:
- DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY
- YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, REPRESENTATIVE ACTION, OR COLLECTIVE ACTION
- YOU WAIVE ANY RIGHT TO A JURY TRIAL
14.5 Exceptions to Arbitration
Either party may seek injunctive or equitable relief in any court of competent jurisdiction for:
- Intellectual property infringement or misappropriation
- Breaches of confidentiality or data security
- Violations of the Computer Fraud and Abuse Act
- Misuse of AI systems or attempts to extract proprietary information
14.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to legal@sportsid.io within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
14.7 Small Claims Court
Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies for such court's jurisdiction.
15. FORCE MAJEURE
SportsID shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, epidemics, pandemics, or public health emergencies
- War, terrorism, civil unrest, or government actions
- Internet or telecommunications failures not caused by SportsID
- Failures of third-party cloud providers, AI services, or data centers
- Cyberattacks, denial of service attacks, or security breaches beyond our control
- Labor disputes, strikes, or workforce shortages
- Acts of God or other unforeseen circumstances
During force majeure events, our obligations under these Terms are suspended to the extent affected by such events.
16. MODIFICATIONS TO TERMS
16.1 Right to Modify
We reserve the right to modify these Terms at any time. Material changes will be communicated via:
- Email to your registered email address
- Prominent notice on our Service
- In-app notification
16.2 Acceptance of Changes
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. Changes take effect 30 days after notice, except:
- Changes required by law (effective immediately)
- Security or fraud-related changes (effective immediately)
- Changes that expand your rights (effective immediately)
16.3 Rejection of Changes
If you do not agree to modified Terms, you must discontinue use of the Service and may terminate your account. Termination does not relieve you of obligations incurred before termination.
16.4 Version Control
We maintain version history of these Terms. You may request prior versions by contacting legal@sportsid.io.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with our Privacy Policy, AI Use Policy, and any additional agreements you enter into with SportsID, constitute the entire agreement between you and SportsID regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found unenforceable by a court or arbitrator, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
17.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by an authorized representative of SportsID.
17.4 Assignment
We may assign, transfer, or delegate these Terms and our rights and obligations without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void.
17.5 Survival
The following provisions survive termination of these Terms: Sections 5.2 (License Grant), 5.3 (AI Training), 6.7 (IP in AI Outputs), 7 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Dispute Resolution), and 17 (General Provisions).
17.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as may be expressly provided for our affiliates, licensors, and technology partners.
17.7 Relationship of Parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and SportsID.
17.8 Notices
Notices to you may be delivered via email, in-app notification, or posting on the Service. Notices to us must be sent to legal@sportsid.io and, if required, to our registered agent for service of process.
17.9 Language
These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict between the English version and a translation, the English version controls.
18. ACCESSIBILITY
SportsID is committed to providing an accessible Service in compliance with the Americans with Disabilities Act (ADA) and Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards.
If you experience accessibility issues, please contact us at accessibility@sportsid.io. We will make reasonable efforts to accommodate your needs and address accessibility barriers.
19. SPORTS-SPECIFIC PROVISIONS
19.1 Athletic Data
Athletic performance data is collected and processed in accordance with applicable sports regulations, NCAA rules (where applicable), and athlete privacy rights.
19.2 Anti-Doping Compliance
Users acknowledge that certain data may be subject to anti-doping regulations and may be shared with appropriate authorities (WADA, USADA, etc.) when required by law or sports governing body rules.
19.3 Competition Integrity
We prohibit any use of our Service that could compromise the integrity of sports competitions, including:
- Match-fixing or manipulation of competition outcomes
- Insider information abuse or sports betting fraud
- Use of performance data for unfair competitive advantage
- Tampering with athlete identity or eligibility verification
19.4 Youth Sports Protections
For youth sports participants (under 18):
- We implement enhanced privacy protections
- Coaches and organizations must comply with background check requirements
- We prohibit inappropriate communications between adults and minors
- Parents have access rights to their children's data
19.5 NCAA Compliance
For collegiate athletes, we provide tools to help maintain NCAA eligibility compliance. However, you are solely responsible for ensuring your use of the Service complies with NCAA rules and regulations.
19.6 International Sports Regulations
Users participating in international sports governed by bodies such as FIFA, FIBA, World Athletics, etc., are responsible for ensuring compliance with applicable international rules and regulations.
20. EXPORT CONTROLS AND SANCTIONS
20.1 Export Compliance
The Service, including our AI technology and software, may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export laws and not to:
- Export or re-export the Service to prohibited countries or persons
- Use the Service for prohibited end uses (weapons development, etc.)

You represent that you are not located in, ordinarily resident in, or organized under the laws of any country subject to U.S. sanctions, and are not owned or controlled by such persons.

If you are a U.S. government entity, our software and AI services are "commercial items" as defined at 48 C.F.R. 2.101, and are licensed subject to these Terms in accordance with applicable federal acquisition regulations.
